ARTICLE 1 NAME
The name of the federation shall be the SOUTHERN HEMISPHERE FEDERATION OF CELTIC SUPPORTERS’ CLUBS, hereinafter called “the Federation”.
ARTICLE 2 OBJECTIVES
The objectives of the Federation are to organise and unite the existing Celtic Supporters’ Clubs, hereinafter called “clubs”, in the Southern Hemisphere, and to encourage and promote the formation of new clubs within the region.
ARTICLE 3 AFFILIATION
The Federation will affiliate with Glasgow Celtic Football Club and will act as its representative within the boundaries outlined in ARTICLE 2.
ARTICLE 4 ORGANIZATION
The Federation shall be composed of member clubs as hereinafter set out, and it shall be managed by an Executive Committee constituted in accordance with ARTICLE 12.
ARTICLE 5 MEMBERSHIP
Membership shall be open to all properly constituted clubs in the Southern Hemisphere.
ARTICLE 6 MEMBERSHIP FEES
Annual membership fees shall be recommended by the Executive Committee for approval and adoption at each Annual General Meeting. Fees shall be based on the financial membership of each affiliated club as at the preceding 30 June.
ARTICLE 7 MEMBERSHIP RENEWALS
(a) Each member club wishing to renew its status for the coming year shall, at least seven (7) days prior to the Annual General Meeting, pay a portion of their fee for that year amounting to not less than twenty-five percent (25%) of their fee for the year ending at the Annual General Meeting.
(b) New applicant clubs shall apply to the Executive Committee for membership not later than fourteen (14) days prior to the Annual General Meeting.
(c) If an application meets the criteria laid down by the Federation, the Executive Committee shall admit the applicant club to its membership.
ARTICLE 8 ANNUAL GENERAL MEETING
(a) The Annual General Meeting of the Federation shall be held on a convenient date within the period September toNovember inclusive.
(b) All member clubs shall receive at least six months notification of the date of the subsequent AGM.

(d) The Chairperson may, at his/her discretion, introduce any special business for discussion after approval of the minutes.
ARTICLE 9 SPECIAL GENERAL MEETING
(a) A Special General Meeting may be called by the Executive Committee by its own motion.
(b) A Special General Meeting shall be called within thirty (30) days following the receipt of a written request signed by executive members of at least one third of member clubs.
(c) Member clubs shall receive at least fourteen (14) days notice of the date, time and location of a Special General Meeting.
(d) Only the business for which a Special General Meeting has been called will be dealt with, except with the unanimous consent of the delegates present.
ARTICLE 10 QUORUM
At least one third of all member clubs must be present for an Annual General Meeting or Special General Meeting to be quorate.
ARTICLE 11 VOTING
(a) A delegate qualified to vote and to take part at a General Meeting of the Federation shall be the designated delegate of a member club.
(b) The name of the designated delegate and proxy delegate of a member club must be filed with the Federation not later than seven (7) days prior to the General Meeting.
(c) Voting shall be of a show of hands unless a poll is requested.
(d) A delegate shall hold the number of votes equating to that member club’s financial membership as at the preceding 30 June.
(e) If a poll is required, a Returning Officer shall be appointed to total the votes and report the outcome to the President, who shall announce the results to the assembly for the record.
(f) The President shall have a single casting vote only.
(g) Executive Committee officers shall be able to speak but not vote at a General Meeting except for the President who may also vote but only in accordance with the provisions of ARTICLE 11f.
(h) Executive Committee officers may not sit as voting delegates at a General Meeting.
ARTICLE 12 EXECUTIVE COMMITTEE
(a) The business of the Federation shall be conducted by an Executive Committee which shall comprise the following officers:
1. President
2. Vice President
3. Secretary
4. Treasurer
(b) The election of these officers shall be by secret ballot at the Federation’s Annual General Meeting.
(c) The following officers shall be elected for a period of two years: The President, Treasurer, in odd numbered years, and the Vice President and Secretary in even numbered years.
(d) Should any business be conducted involving a club with which any Executive Committee Member is associated, that officer shall absent himself/herself until that part of the business is completed.
(e) Meetings of the Executive Committee shall be held at the call of the President or a majority of the officers.
(f) The Executive Committee shall meet not less than quarterly.
(g) Three officers shall form a quorum.
(h) All individuals being considered for Executive Committee positions of the Federation shall be a financial members of their particular club.
ARTICLE 13 DUTIES OF THE EXECUTIVE COMMITTEE
(a) The President shall chair all meetings of the Federation. He/She will act as spokesperson for the Federation and will delegate such responsibilities when required.
(b) The Vice-President shall be the senior officer of the Federation next to the President, and he/she shall chair meetings in the President’s absence. He/She shall have other duties as prescribed.
(c) The Secretary shall be responsible for Corporate Affairs of the Federation.
(d) The Treasurer shall be responsible for the fiscal affairs of the Federation.
ARTICLE 14 AMENDMENTS TO THE CONSTITUTION
(a) Proposed amendments to the constitution shall be forwarded in writing to the Secretary of the Federation no later than 1 August of the year of the Annual General Meeting or thirty (30) days prior to a Special General Meeting called for that purpose.
(b) Amendments to the constitution will require a two-thirds majority of all affiliated clubs, and a two-thirds majority of clubs’ votes as described by ARTICLE 11c. |
